Introduction
This Non-Disclosure Agreement (“Agreement” or “NDA”) is entered into between Altura AutoTrade & Investment Platform (“Altura,” “we,” “our,” or “us”) and any individual, partner, client, affiliate, service provider, or third party (“You” or “Recipient”) who accesses, uses, or engages with Altura’s services, platforms, or confidential information.
The purpose of this NDA is to ensure that all proprietary, confidential, or sensitive information belonging to Altura and its stakeholders remains protected against unauthorized disclosure, misuse, or exploitation.
By engaging with Altura in any capacity—whether as a client, subscriber, affiliate, employee, contractor, partner, or visitor—you agree to the terms and conditions of this Agreement.
1. Definition of Confidential Information
For the purposes of this Agreement, “Confidential Information” includes but is not limited to:
1.1 Business Information:

Business models, operational structures, pricing plans, investment structures, affiliate commissions, account management strategies, or internal reports.
1.2 Financial Information:

Revenue data, subscriber lists, trading performance, payment gateways, and financial forecasts.
1.3 Client Data:

Names, email addresses, phone numbers, payment details, identification numbers, investment deposits, and account activity.
1.4 Technical Information:

Trade signal algorithms, proprietary EAs (Expert Advisors), master-slave EA infrastructure, VPS configurations, automation scripts, and system alerts.
1.5 Intellectual Property:
-
Branding elements, designs, website content, marketing materials, research documents, or proprietary strategies used by Altura.
1.6 Other Sensitive Data:
-
Internal communications, unpublished product/service launches, partnership agreements, staff contracts, and unreleased reports.
2. Purpose of Disclosure
Confidential Information may only be disclosed for the purpose of:

Enabling Altura to provide services to clients.
-
Facilitating partnership, collaboration, or affiliate participation.
-
Supporting internal operations such as IT, system maintenance, marketing, and customer service.
-
Ensuring compliance with applicable legal or regulatory requirements.
Any other use of Confidential Information beyond the above scope is strictly prohibited.
3. Obligations of the Recipient
By agreeing to this NDA, you agree to:
3.1 Maintain confidentiality of all information shared.
3.2 Not disclose or share Altura’s Confidential Information with third parties without explicit written consent.
3.3 Not use Confidential Information for personal financial gain outside the agreed scope of Altura services.
3.4 Take reasonable precautions (digital and physical) to protect Confidential Information against unauthorized access.
3.5 Immediately notify Altura of any breach, suspected breach, or unauthorized disclosure.
4. Exceptions to Confidentiality
The obligations in this Agreement do not apply to information that:

Was already in the Recipient’s possession prior to disclosure by Altura.

Becomes publicly available without breach of this Agreement.

Is lawfully obtained from a third party without restriction.

Is required to be disclosed under court order, government regulation, or applicable law (Recipient must provide Altura with prior notice, if legally permissible).
5. Term and Duration
5.1 This Agreement becomes effective immediately upon your engagement with Altura in any capacity.
5.2 The obligations of confidentiality remain binding for five (5) years after termination of your relationship with Altura, unless otherwise extended in writing.
6. Ownership of Information
6.1 All Confidential Information remains the sole property of Altura.
6.2 No license, intellectual property rights, or ownership are transferred to the Recipient through disclosure.
6.3 Upon termination of engagement, all Confidential Information (digital or physical) must be returned, deleted, or destroyed, upon Altura’s request.
7. Remedies for Breach
If the Recipient breaches this Agreement:
7.1 Altura reserves the right to pursue injunctive relief to prevent further disclosure.
7.2 Altura may seek damages, including compensation for financial loss, reputational harm, or competitive disadvantage caused by the breach.
7.3 Breach of this NDA may result in immediate termination of contracts, accounts, partnerships, or memberships with Altura.
8. Non-Circumvention Clause
The Recipient agrees not to bypass, compete with, or exploit Altura’s business model, partnerships, or clients for personal or third-party benefit. This includes:

Approaching Altura’s clients, affiliates, or partners directly.

Replicating Altura’s account management or trading services outside of the platform.
-
Attempting to duplicate Altura’s proprietary systems or structures.
9. Compliance with Data Protection Laws
9.1 Altura complies with applicable data privacy laws, including but not limited to GDPR and local jurisdictional regulations.
9.2 Confidential Information shared with Altura will be securely stored and used strictly for service provision.
9.3 Clients and partners must also ensure their compliance with data protection standards when handling information related to Altura.
10. Affiliates, Partners, and Contractors
Affiliates, contractors, and third-party service providers working with Altura are also bound by this NDA.

They must not disclose, resell, or misuse any Confidential Information related to Altura or its clients.

Affiliate performance metrics, referral tracking, and payouts are considered confidential and protected under this NDA.
11. Governing Law and Jurisdiction
This Agreement shall be governed and interpreted in accordance with the laws of Jamaica (or the primary jurisdiction where Altura is officially registered).
Any disputes shall be resolved through arbitration or mediation in Jamaica before escalating to court proceedings.
12. Severability
If any clause of this Agreement is found unenforceable, the remainder of the Agreement shall remain in full force and effect.
13. Acknowledgment of Agreement
By continuing to use Altura’s services, platform, or confidential data, you acknowledge that you:

Have read and understood this NDA.

Agree to comply with its obligations.

Understand the consequences of breach.
